You must be at least 18 years old and legally capable of entering into binding agreements to use the Services.

Ahadi provides digital tools and services designed to assist users with wedding and event planning, guest management, invitations, RSVPs, communications, scheduling, and related event coordination activities.

We may add, modify, suspend, or discontinue features at any time without prior notice.

Some features may be marked as beta, preview, experimental, or early-access features and may not function as intended.

To access certain features, you may be required to create an account.

You agree to:

• Provide accurate and complete registration information;
• Maintain the confidentiality of your account credentials;
• Be responsible for all activities conducted through your account;
• Notify us immediately of any unauthorized access or security breach.

We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

You are solely responsible for:

• The content you upload, publish, or distribute through the Services;
• Maintaining backups of your data;
• Ensuring that your use of the Services complies with applicable laws;
• Obtaining consent from guests or third parties whose information you upload to the platform.

You agree not to use the Services to:

• Violate any law or regulation;
• Harass, abuse, threaten, or impersonate others;
• Distribute spam, malware, or malicious code;
• Upload unlawful, defamatory, obscene, or infringing content;
• Attempt unauthorized access to systems or accounts;
• Interfere with the operation or security of the Services.

If you create or manage an event through Ahadi, you acknowledge and agree that:

• You are solely responsible for your event and communications with guests;
• Ahadi does not guarantee guest attendance, RSVP accuracy, or event outcomes;
• You are responsible for ensuring compliance with local event, privacy, and consumer protection laws;
• Any disputes between organizers, vendors, guests, or third parties are solely between those parties.

Ahadi acts solely as a technology platform and is not a party to agreements between users, guests, or vendors.

You may upload guest names, phone numbers, email addresses, and related event information solely for legitimate event-management purposes.

You represent and warrant that you have the necessary rights and permissions to provide such information to Ahadi.

You may not use the Services for unsolicited marketing, bulk spam messaging, or unlawful communications.

Messaging or invitation delivery may rely on third-party providers, and delivery is not guaranteed.

Ahadi regularly reviews communication content — including invitation messages, email bodies, and related event correspondence — to ensure compliance with these Terms, our Community Standards, and applicable law. This review is conducted solely by Ahadi and is intended to protect users and guests from misuse, spam, and harmful content.

Email contents, invitation messages, event dates, and recipient lists are strictly internal to Ahadi. This information is not shared outside Ahadi, disclosed to any third party, sold, or used for purposes beyond operating and safeguarding the Services.

Guest contact details and event-related data you upload are processed exclusively for the event-management purposes you have specified. Ahadi does not use this data to independently contact your guests, run advertising, or profile individuals outside the scope of the Services.

Where Ahadi uses third-party infrastructure providers (such as email delivery services), data is transmitted only to the extent technically required to deliver the communication, and such providers are contractually bound not to use that data for their own purposes.

Certain Services may require payment of fees, subscriptions, or transaction charges.

By purchasing paid Services, you agree to:

• Pay all applicable fees and taxes;
• Provide valid payment information;
• Authorize us and our payment processors to charge your selected payment method.

Unless otherwise stated:

• Fees are non-refundable;
• Subscription fees renew automatically until canceled;
• Pricing may change at any time with reasonable notice.

Failure to pay applicable fees may result in suspension or termination of access to paid features.

Ahadi may offer beta, pilot, preview, or experimental features. Such features are provided "as is" and may contain bugs, interruptions, errors, or incomplete functionality.

We make no guarantees regarding:

• Availability;
• Reliability;
• Data preservation;
• Feature continuity;
• Performance of beta features.

You use beta features at your own risk.

All rights, title, and interest in the Services, including software, branding, logos, interfaces, text, graphics, and platform technology, are owned by Evera PLC or its licensors.

Your use of the Services does not grant you ownership of any intellectual property rights.

You may not:

• Copy, modify, distribute, or resell any part of the Services;
• Reverse engineer or attempt to extract source code except where permitted by law;
• Use Ahadi branding without prior written permission.

"Ahadi" and related marks are protected trademarks and/or trade dress of Evera PLC.

You retain ownership of content you upload to the Services, including event details, images, invitations, messages, and guest data ("User Content").

By uploading User Content, you grant Ahadi a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, and transmit such content solely for the purpose of operating, improving, and providing the Services.

You represent and warrant that:

• You own or have the necessary rights to the User Content;
• The User Content does not violate any law or third-party rights.

We reserve the right to remove content that violates these Terms or applicable law.

The Services may integrate with or rely upon third-party platforms, providers, or tools, including payment processors, communication providers, analytics tools, and cloud infrastructure services.

Ahadi is not responsible for:

• Third-party service interruptions;
• External platform policies;
• Data practices of third parties;
• Third-party content or actions.

Your use of third-party services may also be governed by their respective terms and privacy policies.

We strive to maintain reliable Services but do not guarantee uninterrupted availability. The Services may experience downtime, maintenance interruptions, delays, data loss, or technical failures.

We may suspend access temporarily or permanently without liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." AHADI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:

• Merchantability;
• Fitness for a particular purpose;
• Non-infringement;
• Accuracy;
• Reliability;
• Availability.

We do not guarantee that the Services will be secure, error-free, or uninterrupted.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AHADI, EVERA PLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR: INDIRECT OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS; LOSS OF DATA; BUSINESS INTERRUPTION; EVENT DISPUTES; MISSED COMMUNICATIONS; GUEST NON-ATTENDANCE; OR THIRD-PARTY ACTIONS.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO AHADI DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless Ahadi, Evera PLC, and their affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Services;
• Your User Content;
• Your violation of these Terms;
• Your violation of applicable law or third-party rights.

We may suspend or terminate your access to the Services at any time if:

• You violate these Terms;
• We suspect fraudulent or unlawful activity;
• Continued access creates legal or security risks.

You may stop using the Services at any time.

Upon termination:

• Your rights under these Terms immediately cease;
• Certain data may be deleted or retained in accordance with our Privacy Policy and legal obligations.

We reserve the right to modify these Terms or the Services at any time. When material changes are made, we may provide notice through the website, email, or platform notifications.

Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Kenya.
